RBI Introduces Unified Guidelines for Project Finance: A 2025 Reform

The Reserve Bank of India (RBI) has issued the Project Finance Directions, 2025, a harmonised and principle-based regulatory framework aimed at streamlining project finance across the financial sector. Effective from October 1, 2025, these Directions apply to commercial banks (excluding payments, RRBs, and local area banks), NBFCs (including HFCs), Primary Urban Cooperative Banks, and All India Financial Institutions. The move is part of RBI’s ongoing efforts to strengthen resolution of stressed assets and bring greater consistency in project loan management.

The Directions apply to both infrastructure and non-infrastructure projects, including Commercial Real Estate (CRE) and CRE-Residential Housing (CRE-RH). Projects that have achieved financial closure before the effective date will continue under the existing framework unless a fresh credit event occurs.

Key Highlights:

  • Project Lifecycle: RBI classifies projects into design, construction, and operational phases, with specific norms applicable to each stage. 
  • Disbursement Conditions: Funds may only be disbursed after financial closure, clear documentation of DCCO, and availability of minimum land or right of way (50% for PPP infrastructure, 75% for others). 
  • Lender Exposure Norms: Minimum exposure thresholds are prescribed—10% for projects up to ₹1,500 crore and 5% or ₹150 crore for larger ones. 
  • Monitoring & Resolution: A credit event (e.g., default, DCCO extension) triggers mandatory resolution actions under the Prudential Framework, with strict review and implementation timelines. 
  • Permitted DCCO Extensions: Up to 3 years for infrastructure and 2 years for non-infrastructure, with cost overrun financing allowed under defined limits and provisioning rules. 
  • Provisioning Norms: Standard asset provisioning varies by phase and sector. Additional provisions apply for DCCO-deferred standard accounts and are reversible upon commercial operations. 

Lenders must maintain a detailed project finance database and make prescribed disclosures in financial statements. Non-compliance will attract supervisory or enforcement actions.

With these Directions, RBI repeals several earlier guidelines, ensuring a streamlined, transparent, and risk-sensitive approach to project lending. The revised norms provide greater predictability to lenders while enhancing financial discipline among borrowers, ultimately supporting the sustainable growth of long-gestation capital projects in India.
